The Rules for Using Our Website, SolmiriX, and Our Services
These terms cover three things: browsing this website, using the SolmiriX platform, and engaging us for Professional Services. Read the section that applies to you — most visitors only need the first.
1. Acceptable Use of This Website and SolmiriX
By using this website or the SolmiriX platform, you agree not to:
- Use either in any way that violates applicable law, including Nepal's Electronic Transactions Act (ETA 2063) or the data-protection laws of your own jurisdiction
- Attempt to gain unauthorized access to any account, system, or connected data source, whether yours or another client's
- Reverse-engineer, scrape, or resell access to SolmiriX or this website without our written permission
- Upload or connect data you don't have the legal right to share with us
- Use the platform or website to distribute malware, spam, or content that infringes someone else's rights
We may suspend or terminate access for any account or user found violating these terms, with notice where practical.
2. SolmiriX Account & Access Terms
These terms apply once you're onboarded onto the SolmiriX platform:
Your account
You're responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at info.gexon@gmail.com if you suspect unauthorized access.
Phased rollout
SolmiriX is rolling out in phases, as described on the platform page. Features available to your account may expand over time, and we'll communicate significant changes that affect your workspace.
Your data
You retain ownership of the business data you connect to SolmiriX. We access and process it only to operate the platform for you, as described in our Data Protection Policy. You're responsible for having the legal right to connect any data source you authorize.
Suspension for non-payment or misuse
We may suspend platform access for accounts that are significantly overdue on payment, or that violate the acceptable-use terms above, after reasonable notice.
3. Professional Services Engagement Terms
These general terms apply to AI Automation, System Integration, and Custom AI Development engagements. Because every engagement is scoped individually, the specific deliverables, timeline, and price for your project will be set out in a separate written proposal or statement of work — this section covers the terms that apply across all engagements.
Scope & deliverables
Each engagement is governed by its own written proposal or statement of work, which takes precedence over this general section for anything it specifically addresses.
Payment
Payment terms (schedule, currency, and method) are set out in your proposal. Late payment may result in paused work or, for platform clients, suspended access as described in Section 2.
Changes to scope
Work outside the agreed scope will be discussed and agreed in writing (including by email) before we proceed, and may affect timeline or price.
Client responsibilities
Timely feedback, access to relevant systems, and accurate information from you are usually required for us to deliver on schedule — delays on your end may shift delivery dates accordingly.
4. Intellectual Property Ownership
Our platform and pre-existing tools
GeXOn AI owns all rights to the SolmiriX platform, our underlying codebase, frameworks, and any tools or components we developed before or independently of your engagement ("Background IP"). Using SolmiriX or engaging our services doesn't transfer ownership of Background IP to you.
Your data
You own your business data, content, and materials you provide to us. We claim no ownership over it, and use it only to deliver the platform or service you've engaged us for.
Custom deliverables
For Professional Services engagements, ownership of custom-built deliverables (e.g., a custom-trained model, integration code, or automation scripts built specifically for you) transfers to you upon full payment, except for any Background IP embedded within them, which we license to you for use in connection with that deliverable.
5. Limitation of Liability
This website, SolmiriX, and our Professional Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law:
- We don't guarantee that the platform or website will be uninterrupted, error-free, or free of security vulnerabilities
- We aren't liable for indirect, incidental, or consequential damages arising from your use of the website, platform, or services
- Our total liability for any claim arising from a Professional Services engagement is limited to the fees you paid us for that specific engagement in the twelve months before the claim
Nothing in this section limits liability that can't be excluded under applicable law, such as liability for fraud or gross negligence.
6. Governing Law
These Terms are governed by the laws of Nepal. Any disputes arising from your use of this website, SolmiriX, or our services will be subject to the exclusive jurisdiction of the courts of Nepal, unless otherwise agreed in writing for a specific engagement.
